State Constitution

1) The name shall be the Australian Technical Millers Association, New South Wales Division.

2) The object of the Association shall be to bring together members of the cereal milling and allied industries, and to encourage technical interest and knowledge to the betterment of the industry.

a) Membership is open to those who are engaged or who have been engaged in a technical capacity, in cereal milling and allied industries and, at the discretion of the Committee, to those of other industries which service them. All prospective members must be nominated and seconded by financial members and the nominator should submit his proposal in writing, giving details of the qualifications and past experience of the nominee.

b) Membership by transfer is available to a financial member of any Division of the Australian Technical Millers Association in Australia. Application for transfer must follow the procedure as set out for all prospective members. Having transferred membership, a member will be deemed financial until the end of the calendar year.

c) Reciprocal membership is available to financial members of any Division of the Australian Technical Millers Association within Australia, for any function. A charge applicable to any function will apply.

d) Life Membership is open to all financial members of the Australian Technical Millers Association (New South Wales Division) who are proposed and seconded by current financial members, under the criteria set out in the guidelines for Life Membership. Such guidelines shall only be altered by a majority vote of the Committee.

3) The annual subscription shall be such an amount as may be determined at an Annual General Meeting. Annual subscriptions shall become due at the beginning of each calendar year.

4) The Committee may from time-to-time, with the approval of a General Meeting, raise special levies or make charges for special purposes.

5) Functions shall be held at least three times per year, at a time and place to be decided by the Committee. The cost of such functions will be borne by those attending, unless the Committee decides otherwise.

6) All contributions to the Australian Technical Millers Association functions shall be requested to respect the aims and objectives of the Association.

7) The Annual General Meeting shall be held in the second half of the calendar year. The number to form a quorum at an Annual General Meeting shall be a percentage the financial members of the particular Division (to the nearest whole number). The actual percentage shall be a minimum of 20% of financial members of the particular Division. The retiring Chairman shall preside throughout this meeting.

8) The Committee shall consist of not less than six (6) and not more than nine (9) financial members as determined by an Annual General Meeting. They shall be elected for a period of three (3) years. One third (or the nearest number to one third) of the Committee members will retire each year by rotation, but may offer themselves for re-election.

a) In the event of a Committee man retiring during his term of office, the Committee may appoint a financial member to fill the vacancy. Any member so appointed shall retire at the same time as the Committee man he replaced would have retired, under normal circumstances.

b) The election of Committee members shall take place at the Annual General Meeting or by prior ballot. The result of such ballot is to be announced at the Annual General Meeting.

c) The Committee shall elect from amongst its members a Chairman, Secretary, Treasurer, and two (2) delegates to the Australian Technical Millers Association.

d) The Committee shall meet whenever it decides, and a quorum shall be not less than fifty percent (50%) of its members.

9) The Secretary shall keep a correct record of the Minutes of the meetings and place before the meeting all correspondence. In the absence of the Secretary, a Minute Secretary shall be elected for the meeting.

10) The Treasurer shall receive all monies, issue receipts for the same, and pay all accounts authorised by the Committee, and keep proper records.

11) All properties of the Division shall be vested in the Chairman, Secretary, and Treasurer, who shall be its Trustees.

12) A financial statement shall be presented at the Annual General Meeting.

13) The income and property of the Australian Technical Millers Association whence so ever derived, shall be applied solely towards the promotion of the objects of the Association as set out herein, and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus, or otherwise howsoever by way of profit, amongst the members, provided further that nothing herein contained shall prevent any member from being repaid for any out-of -pocket expenses.

14) If, upon winding up or dissolution of the Australian Technical Millers Association, there remains, after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed amongst the members of the Association, but shall be given or transferred to some other organisation having similar objects to this Association and which prohibits the distribution of its or their income and property amongst its or their members.

a) To amend this Constitution it shall be necessary to give notice of the motion of such amendment to the Secretary, who shall circulate it to all members not less than fourteen (14) days prior to the date of the Annual General Meeting or an Extraordinary General Meeting. The number to form a quorum at an Extraordinary General Meeting shall be the same as for an Annual General Meeting as set out in Clause 8 of this Constitution.

b) No amendment to this Constitution will be valid until approved by the Australian Technical Millers Association.
